This form of compensation became very popular in attracting and retaining talents in the past years.<\/p><p>Restricted Stock Units are issued to employees under certain conditions. In particular under consideration of a vesting schedule \u2013 tied to the length of employment or performance goals. The employee will only get the shares once they are vested e.g. after 3 years in the company.<\/p><p>Expatriates especially from the USA or overseas who are sent to Germany by their employers often participate in such Restricted Stock Units schemes. In most cases, this will be the time the Restricted Stock Units vest. The grant date is not decisive for the taxation.<\/p><p><strong>Quick tip:<\/strong><\/p><p>Although it is quite common that under the RSU scheme employees get the shares at vesting and not at grant date, it is important that the agreements reflect this as well. The German tax authorities check the agreements for the tax evaluation.<\/p><p>To avoid a taxation at grant date without any cash equivalent, the agreements should be checked and kept as supporting documents in the files.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a5bf076 elementor-widget elementor-widget-heading\" data-id=\"a5bf076\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">SPLIT OF BENEFIT <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-be8c4ec elementor-widget elementor-widget-text-editor\" data-id=\"be8c4ec\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The benefit from Restricted Stock Units is to be regarded as remuneration for the entire vesting period.<\/p><p>If an employee works during the vesting period in Germany and abroad, the benefit has to be split.<\/p><p>This is based on most Double Tax Treaties. It is recommendable to check the underlying Double Tax Treaty in each case.<\/p><p>Usually, the Double Tax Treaties assign the taxation right of the salary to the country where the work has been performed:<\/p><p>The part of the benefit that relates to times while working in Germany is taxable in Germany. The part that relates to times of working abroad might be taxable abroad.<\/p><p>In general, the relevant period for the split is the vesting period, i.e. the time between the grant and the vesting.\u00a0<\/p><p><strong>Quick tip:<\/strong><\/p><p>Not every country considers a split of the benefit related to the working days so that double taxation might arise. It is not only necessary to check the Double Tax Treaty but to involve a tax specialist in the other country to avoid double taxation.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-94a565f elementor-widget elementor-widget-heading\" data-id=\"94a565f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">CALCULATION OF THE TAXABLE BENEFIT<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ef01c43 elementor-widget elementor-widget-text-editor\" data-id=\"ef01c43\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The taxable benefit from Restricted Stock Units is calculated as the difference between the purchase price (paid by the employee, if any) and the fair market value of the shares at the date the shares become fully vested:<\/p><table><tbody><tr><td width=\"415\"><p>Vesting number of shares * fair market value at vesting<\/p><\/td><\/tr><tr><td width=\"415\"><p>Minus purchase price<\/p><\/td><\/tr><tr><td width=\"415\"><p>Minus transactional fees<\/p><\/td><\/tr><tr><td width=\"415\"><p>= Taxable Benefit<\/p><\/td><\/tr><\/tbody><\/table><p>\u00a0<\/p><p>\u00a0<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f08a0ae elementor-widget elementor-widget-heading\" data-id=\"f08a0ae\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">EXAMPLE<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-57bd8d1 elementor-widget elementor-widget-text-editor\" data-id=\"57bd8d1\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>John works for a US company who offered him 1,200 RSUs in January 2021. The RSUs are put on a two-year vesting schedule: January 2021 to December 2022. John will receive the shares after two years with the company.<\/p><p>Until December 31, 2021, he lived and worked in New York\/USA. From January 1, 2022 he lives and works in Berlin\/Germany due to a secondment. End of December 2022 John receives the 1,200 shares since the vesting period ended. The fair market value at vesting is 100 $ per share. Therefore, the benefit needs to be split equally. The taxable benefit in Germany amounts to 60,000 $.<\/p><p>John needs to file two tax returns, in the USA and in Germany.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-35adeac elementor-widget elementor-widget-heading\" data-id=\"35adeac\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">APPLICABLE TAX RATE<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-44e9050 elementor-widget elementor-widget-text-editor\" data-id=\"44e9050\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The benefit has to be taxed as regular salary by applying the individual tax rate of the employee.<\/p><p>The tax rates for taxpayers in Germany are progressive. This means that with a higher income, more taxes are paid. In addition, the income scales double for married couples filing jointly.<\/p><p>For a better overview, the following tax brackets apply (for single individuals, fiscal year 2022):<\/p><table><tbody><tr><td width=\"113\"><p>Tax Rate<\/p><\/td><td width=\"198\"><p>Income<\/p><\/td><\/tr><tr><td width=\"113\"><p>0%<\/p><\/td><td width=\"198\"><p>0 Euro to 10,347 Euro<\/p><\/td><\/tr><tr><td width=\"113\"><p>14% to 24%<\/p><\/td><td width=\"198\"><p>10,348 Euro to 14,926 Euro<\/p><\/td><\/tr><tr><td width=\"113\"><p>24% to 42%<\/p><\/td><td width=\"198\"><p>14,927 Euro to 58,596 Euro<\/p><\/td><\/tr><tr><td width=\"113\"><p>42%<\/p><\/td><td width=\"198\"><p>58,597 Euro to 277,825 Euro<\/p><\/td><\/tr><tr><td width=\"113\"><p>45%<\/p><\/td><td width=\"198\"><p>277,826 Euro or more<\/p><\/td><\/tr><\/tbody><\/table>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d9e4a32 elementor-widget elementor-widget-heading\" data-id=\"d9e4a32\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">TAX RELIEFS<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2ea6a44 elementor-widget elementor-widget-text-editor\" data-id=\"2ea6a44\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>As of 1 January 2021, employees can get a <strong>tax-free amount of EUR 1,440<\/strong> on the benefit received (<a href=\"https:\/\/www.gesetze-im-internet.de\/estg\/__3.html\" target=\"_blank\" rel=\"noopener\">\u00a7 3 No 39 German Income Tax Act<\/a>). Provided all employees who are employed for one year or more are eligible to participate in the plan (increased from EUR 360).<\/p><p>Furthermore, under certain circumstances, the benefit resulting from Restricted Stock Units could be regarded as remuneration for several years of employment. In this case a reduced tax rate applies (<strong>so<\/strong> <strong>called \u201c1\/5 rule\u201d\/\u201cF\u00fcnftelregelung\u201d <\/strong><a href=\"https:\/\/www.gesetze-im-internet.de\/estg\/__34.html\" target=\"_blank\" rel=\"noopener\">\u00a7 34 German Income Tax Act<\/a>).<\/p><p>However, this reduced tax rate only becomes effective if the employee&#8217;s salary without the benefit is below the maximum tax rate level of 42% applies. Such level is approx. 58kEUR in case of a single person. If the employee\u2019s income is taxed at this level, the 1\/5 rule does not have any effect.<\/p><p>Whether or not the tax reliefs are applicable, is to be checked in each case individually.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a17d6b5 elementor-widget elementor-widget-heading\" data-id=\"a17d6b5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">ARE RESTRICTED STOCK UNITS TAXED TWICE?<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-65c9a4e elementor-widget elementor-widget-text-editor\" data-id=\"65c9a4e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The benefit received is taxed as salary with the individual tax rate of each employee. Therefore, employees should check their tax position regarding the Restricted Stock Units with their employer.
